A Sale of Assets transaction is an alternative route to achieving B-BBEE ownership recognition. It allows a business to transfer ownership of a defined division, business unit, or asset set to a Black- owned entity, while retaining overall control of the parent company.

Tradam structures these transactions to ensure full compliance, fair value, and long-term empowerment outcomes.

Under the B-BBEE Codes of Good Practice, companies can claim ownership points for the sale of a qualifying business unit, division, or asset to a Black-owned entity.

This approach offers flexibility  allowing businesses to meet transformation objectives without diluting shareholding.

Tradam ensures that every Sale of Assets transaction is properly valued, structured, and verified, meeting all DTIC requirements and sector code provisions.

Qualifying Criteria for Ownership Recognition

The sale must be to a B-BBEE compliant entity that is at least 51% Black-owned, with preference for at least 30% Black women ownership (for bonus points).

The transaction must occur at fair market value, verified by an independent valuer.

The assets or division sold must constitute a viable going concern capable of operating independently.

Where relevant, transitional support such as supply agreements or capacity building must be included.

Operational control and day-to-day management must transfer to the Black-owned purchaser.

A minimum 40% net value must accrue to Black owners over 10 years, as outlined in the B-BBEE Codes.
